At the assembly meeting shareholders were familiarized with the annual report of Bankart d.o.o., which, following good business results in previous years of operations, also shows a profit for 2005. Members of the Supervisory Board and the company Managing Director were released from office. The latter, Mr. Aleksander Kurtevski, was authorized by the shareholders to replace amounts quoted in SIT by amounts in euros in the agreement on founding the Bankart company, on the date of introduction of the euro as the legal tender in the Republic of Slovenia, whereby he shall use the officially stipulated procedure and rate of exchange for their calculation.

Ljubljana, 27 June 2006 – In the first half of the current month the Bankart d.o.o. company Assembly was held in Ljubljana. In the introduction, shareholders approved a new 4-year term for the Bankart Assembly Chairman, Zoran Nemec, Chairman of the Board of Directors of Raiffeisen Krekova banka, and they also reelected Mrs. Ivica Zemljak, Director of the contemporary legal tenders sector at Abanka Vipa as the Assembly Deputy Chairman for the same term. On this occasion we would also like to add that, at the beginning of 2006, shareholders approved 4-year terms of membership of the Bankart d.o.o. Supervisory Board for Mr. Srečko Korber, member of the Board of Directors of Gorenjska banka and Mr. Robert Vrenk, Director of the commercial network sector at Banka Celje, and in April 2006, members of the Supervisory Board approved a new 4-year term to the Bankart d.o.o. Managing Director, Mr. Aleksander Kurtevski.

At the assembly the shareholders authorized the company Managing Director to replace, on the date of introduction of the euro as the legal tender in the Republic of Slovenia, the amounts of founding capital, actual stakes and monetary stakes, and amounts of founding stakes, all quoted in SIT, by amounts in euros in the Agreement on founding the company Bankart, procesiranje plačilnih instrumentov d.o.o., Ljubljana, whereby he shall use the officially stipulated procedure and rate of exchange for their calculation.

The Bankart company annual report for the period from January to December 2005 shows success in the company's business operations, confirmed by:

•   good business results (net annual profit for 2005 = + 243 million Sit)

• investments, mostly in projects , represent as much as 18.2% of total company revenues, or in figures, 661 million SIT

• numerous successfully completed projects: transfer of payment orders and money order slips from NLB to the Bankart environment, shift from the Europay (ECCSS) to Mastercard clearing system (GCMS), Implementation of EMV support on NCR ATMs, adjustment of CMS card support to new accounting standards

• adequate implementation of ongoing projects (shift to € in all fields of business operations, which shows close cooperation with banks; implementation of EMV support to other types of ATMs and to POS terminals; setting up software for continuous operations of the authorization system, and elaboration of basic analyses for continuous provision of support to card operations)

• acquisition of a permit from the Bank of Slovenia to perform individual operations in providing payment system services within the Collection Centre, which was very demanding for Bankart – in addition to the system legal regulation it was also necessary to elaborate a risk analysis, by identification of critical functions exposure, to provide a back up location with required work procedures, to form standards of operational reliability, to coordinate and sign an agreement with banks on the level of service provision by the Collection Centre, and to implement supervision on individual risks,

• successful internal reorganization – based on recommendations of the Bank of Slovenia, establishment and start-up of services of internal audit and of information security and protection provision and, last but not least,

• quantity discounts Bankart can offer to his service users, particularly in the field of ATM and card services processing.

In the business development plan for 2006, principal attention has been focused on the project of the shift to the euro in all fields of operation (ATMs, cards, POS terminals, Collection Centre and accounting services). Close cooperation with banks is necessary in project implementation, which also represents a high engagement of resources in coordinating the project. The implementation of EMV support to Wincor Nixdorf and Diebold ATMs, continuing aims in projects of installing software for continuous operation of the authorization system and installing software for continuous operating in the field of card operations support, and introduction of documentation system are anticipated, while in the field of information technology projects are oriented towards providing technical conditions for an improvment in the quality and reliability of company operations, even in extraordinary circumstances, or by a substantial increase in transaction volume. A further basic future objective of the Company will be a reduction of processing costs for banks. Based on the good business results of the previous years of operations, and with a sound business attitude towards its clients, the company will maintain and even strengthen its position as the leading processor in the Slovene market. On completion of the assembly, the participants were addressed by the Chairman of the Supervisory Board of Bankart d.o.o. Mr. Borut Stanič, member of the Board of Directors of NLB d.d., who expressed satisfaction with the company's business operations, commended the work of its employees and of the company management, and simultaneously highlighted the need to continue quality work and prudence in the planning of the company's business operations, since market conditions would not permit deviations or lagging behind the competition.
